Goallex Contributor Partnership Agreement

This Contributor Agreement is effective as of 12 May 2025.
Please read the terms and conditions of this Contributor Agreement (“Contributor Agreement”) carefully before accepting. This Contributor Agreement, which may be amended from time to time, outlines the rights you are granting to Goallex in any Stock Content, and what uses Goallex may make of the Stock Content.
You must be a User in order to be a Contributor. Your use of the Service is governed by our Terms and Conditions and Privacy Policy.
Here are the terms you are agreeing to when you contribute Stock Content to Goallex.

1. Our Service

1.1 Our Service
Goallex operates an online advising platform, which allows users to apply a variety of informational and visual content in their daily lives for self-development, wellness and educational purposes. You may choose to give Goallex the right to use from open online resources or contribute to the Service blocks of information, images, illustrations, videos, and other content, along with any associated text, for license to other Users (“Stock Content”) to be represented and used as Guided Experience Micro Action programs (“Maps”). Any User who contributes Stock Content to the Service shall be referred to as a “Contributor”. Contributors must be over the age of 18 years (or the minimum legal age required in their country to enter into an agreement).
1.2 Contributor Guidelines
You agree to follow Goallex’s Content Guidelines (“Guidelines”), which will be published 30 days before the product launch and can be updated from time to time. Goallex can make changes to the Guidelines without telling you if it considers that the change is likely to benefit you or have a neutral impact on you. We will provide you with reasonable advance notice of any change to the Guidelines that, in our sole determination, materially adversely affects Contributors’ rights or your use of the Service. We may provide you with this notice via the Service and/or by email to the email address associated with your account.
1.3 Refusal of Stock Content by Goallex
By submitting Stock Content, you acknowledge that Goallex may use automated tools, including artificial intelligence tools provided by third parties, such as OpenAI and Gemini, to evaluate your submissions. While these tools are designed to uphold our content standards, they may occasionally misclassify submissions. If you believe a decision was made in error, you may request a review by contacting support.
Goallex may, in its discretion:
(a) refuse to accept any Stock Content;
(b) remove any Stock Content from the Service;
(c) pause your account;
(d) impose submission limits on your account; or
(e) place a temporary hold on review of Stock Content from your account.
For example, Goallex may take these actions where Goallex reasonably considers that your Stock Content:
(f) is not of acceptable quality;
(g) infringes a third party’s rights;
(h) violates Goallex’s Guidelines or the Terms of this Agreement;
(i) is fraudulent;
(j) would or does subject Goallex or its Users to legal action.
1.4 Removal of Stock Content by You
You have the right to remove any of your Stock Content from our Service at any time for any reason, including by withdrawing entirely from the Contributor program. Goallex will use reasonable efforts to cause the Stock Content to be removed from the Service and affiliated or partner websites within sixty (60) days of your deactivation of such Stock Content. However, you agree that any licenses issued by Goallex in respect of any Stock Content (following our Content License Agreement that will be published 30 days before the product launch) that is removed from the Service will remain in full force and effect under the terms of that license. In addition, you also agree that Goallex will be able to keep at least a thumbnail of any Stock Content that you removed indefinitely.
Goallex is all about sharing your content with other people so they can improve their health and well-being. The content you submit to Goallex will become a part of that grand and positive purpose.
Every map submitted to Goallex is appreciated, but *we* get to say what content is appropriate for Goallex. If you’d like to remove some of your content from Goallex, you’re free to inform us, and we’ll take it off the Service.

2. Ownership, Releases and Your License Grant and Warranty

2.1 Ownership
Nothing contained in this Agreement shall be construed to transfer any copyright to Goallex. The copyright in and to all Stock Content, notwithstanding that it was created by the Goallex team using the Contributor’s content available online or submitted by the Contributor, remains with the owner of such copyright. Any and all Stock Content submitted to the Service must be your own original work.
2.2 Model and Property Releases
By submitting Stock Content to Goallex, you agree to provide valid and accurate releases for all Stock Content you upload to Goallex that, in our judgment, contains an identifiable face, identifiable person, other identifiable attribute, or property. If you do not have a release for the Stock Content that contains an image(s) of an identifiable person or property, Goallex may choose to reject such Stock Content. You agree that you are solely responsible for retaining all original releases and maintaining complete and accurate release records for all Stock Content. Any applicable releases are required to be electronically submitted to Goallex with the Stock Content or made available to Goallex at our request. You acknowledge and agree that the submission of falsified, inaccurate or otherwise defective releases constitutes a material breach of this Agreement and may result in the immediate termination of your account by Goallex, acting reasonably.
You agree to inform the model, including in such releases, that:
(a) Goallex will apply and publish descriptive labels (including via machine learning, data analytics and predictive analytics) in conjunction with Stock Content (including, but not limited to, ethnicity, gender, sexual orientation and health information) in order to make them more easily searchable and for analytics purposes;
(b) Goallex users may apply and publish descriptive labels (including via machine learning technology) to individual instances of Stock Content (including, but not limited to, ethnicity, gender, sexual orientation and health information) in order to make them more accessible; and
(c) The Stock Content and labels may be publicly available worldwide and transferred to countries with different privacy laws where they may be stored, accessed and used under Goallex’s Privacy Policy.
2.3 License Grant
By submitting any Stock Content to the Service or allowing Goallex to use your content available online, you hereby grant Goallex, a worldwide, non-exclusive right and license to use, reproduce, create derivative works of, store, publicly display, market, sublicense and sell any Stock Content uploaded by you and accepted by Goallex, subject to the terms and conditions of this Agreement. Goallex may also use, reproduce, create derivative works of, store, publicly display, transmit, broadcast, adapt and sub-license any Stock Content to promote, advertise, use for educational purposes and otherwise market Goallex, and develop and improve Goallex products and services (and those of its affiliates, related bodies corporate and third-party service providers) without additional compensation to you (except as otherwise agreed or as outlined in this Agreement). Marketing may include, but is not limited to, the use of Stock Content within the Service, and also social media and networking sites.
You agree that Goallex shall have the right, but not the obligation, to license all Stock Content to its Users in accordance with our Content License Agreement or any other license offered by Goallex. This includes the right of Goallex to license Stock Content to its users via a subscription model. The specific terms that will govern specific Stock Content will be determined by the Content License Agreement (or equivalent terms). You also agree that Goallex may grant or sublicense any rights granted under this Agreement to its service providers, affiliates, related bodies corporate, or other third parties for use on any versions of the Service throughout the world.
We claim no copyright in the content submitted to us by others.
In order for us to accept your Stock Content, it has to have appropriate releases, which you can read about in our Guidelines.
By submitting Stock Content to Goallex, you give us the right to grant licenses to others so they can use it.
2.4 Warranty
You agree that you are solely responsible for all Stock Content that you make available on or through the Service. You represent and warrant that (1) you are either the sole and exclusive owner of all Stock Content or you have all rights, licences, consents and releases that are necessary to grant to us the rights in such Stock Content as contemplated in this Contributor Agreement; and (2) neither the Stock Content nor the posting, uploading, publication, sending or receiving of the Stock Content or our use of the Stock Content on, through or by means of the Service will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
2.5 Metadata and Data Labelling
From time to time, Goallex may apply or edit the metadata to Stock Content for the purposes of search and discoverability of the Goallex library. This may include applying machine learning and predictive analytics to improve our service for users. This could include: topic and focuses (e.g., fitness, dieting, self-education), components (e.g., high-protein meal plan, yoga technique, fall-asleep breathing exercise); labelling raw individual data (e.g., “green salad with egg”); detecting content prohibited by our Terms of Use for moderation and security purposes (e.g. pornographic or copyright-protected material); translating content, and others. Further, Goallex users may apply and publish descriptive labels to individual instances of Stock Content for the purposes of accessibility, including by machine learning technology. This could include labelling raw individual data (e.g. “green salad with eggs”). By submitting Stock Content to Goallex, you agree that your content may be used and sublicensed by Goallex for these purposes.
2.6 Attribution
Goallex will always attribute you as the author of your Stock Content in the Goallex library. You acknowledge and agree that Users are not required to attribute you as the author of your Stock Content when using Stock Content in their maps. You agree to waive (or, where a waiver is not possible, you agree not to enforce against Goallex or our Users) any moral rights you have in respect of your Stock Content. For example, you agree that you can’t take action against Goallex or our Users if a User doesn’t attribute you as the author of your Stock Content, or they claim authorship of your Stock Content, or they materially alter your Stock Content. Don’t forget that all of our Users are subject to Goallex’s Acceptable Use Policy.
2.7 Use of Stock Content to develop and improve artificial intelligence and machine learning models and Opt-Out
(a) You agree that, pursuant to the License Grant under Section 2.3 and subject to your right to opt-out under Section 2.7(b), Goallex has the right and license to use your Stock Content to develop and improve artificial intelligence and machine learning models. You agree that Goallex may sub-license this right and license to any of Goallex’s affiliates and related bodies corporate for the same purpose.
(b) If you do not want Goallex, its affiliates or its third-party service providers to use your Stock Content to develop and improve artificial intelligence or machine learning models, you can opt-out by sending us an email indicating the Stock Content that has to be excluded from these models.
(c) If you opt-out, Goallex will retain the right to use your Stock Content to develop and improve artificial intelligence or machine learning models for a period of 1 month following your request, after which time we will not use your Stock Content from the day after the expiry of that 1 month period for that purpose unless you opt-back in. Any development or improvement activities carried out prior to your opt-out will not be affected by this opt-out.
(d) For the avoidance of doubt, if you withdraw entirely from the Contributor program, Goallex will retain the right to use your Stock Content to develop and improve artificial intelligence or machine learning models, unless you opt-out.

You acknowledge and agree that Users may use Stock Content for the permitted uses under our Content License Agreement or any other license offered by Goallex and are under no obligation to inform Goallex or you of the uses made of any Stock Content.

3. Cut Out Maps and Goallex’s Proprietary Rights

3.1 Cut-Out Maps Overview
Additional versions of certain Stock Content are ‘cut out’ maps, so the parts of the Contributor’s Content available for Goallex adaptation or the parts of the maps submitted by the Contributor are also available on the Service. Goallex will store and sell licenses for both the originally submitted Stock Content file and the Cut Out version. You will always receive appropriate royalties for license sales for all versions of your Stock Content, though Goallex reserves the right to charge a premium (which is NOT included in royalty calculations) for the Goallex-created Cut Out (as defined below).
3.2 Goallex-created Cut-Out Maps
Goallex may, in its sole discretion, create a Cut Out as an additional version of Stock Content (“Goallex-created Cut Out Maps”). Any Goallex-created Cut Out of your Stock Content will be created at no cost to you. However, you will have no right to use, sell, distribute, modify, or create derivative works of any Goallex-created Cut Outs in any way. Goallex will offer Goallex-created Cut Out Maps for license only, while the underlying original Stock Content remains available for license on Goallex. You understand that Goallex is under no obligation to perform the cut-out process, and any Goallex-created Cut Out Maps will be made at Goallex’s sole discretion.
3.3 Contributor-created Cut-Out Maps
You are welcome to submit your own Cut-Out Maps, along with the original Stock Content in accordance with Goallex’s Contributor Quality Guidelines. Goallex will review both the original Stock Content and the Cut-Out version. Goallex may, in its discretion, acting reasonably, reject a file for the content of the Stock Content and/or the quality of the Cut Out Map. You remain the owner of all copyright in and to all Cut-Out Maps you submit to the Service.
Goallex’s primary objective is to equip users with a wide selection of adaptable solutions, designed to be effortlessly integrated by diverse personalities. We may choose to cut out some of your maps, or we may choose not to do so. If we do, you don’t get to download or use the cut-out version. If you deactivate the original map, the cut-out maps will be deactivated too.
If you cut out your own maps, we’ll review both the original map and the cut-out independently.

4. Payment Terms

Upon introduction of paid subscription plans, Goallex will pay you a royalty for each unique, deduplicated license issued for your Stock Content, which Users can obtain by either (a) purchasing your services, (b) signing up for your support plans, or (c) holding an eligible Goallex subscription. The royalty model will be officially published on the Goallex website, and you will be notified 30 days before its start.
You can also choose to make your Stock Content free. In some circumstances, we may also choose but are not obligated, to pay you royalties for Stock Content you have designated as free.

5. Termination

Participation in Goallex’s Contributor program requires you to remain in good standing throughout the term of our relationship. If Goallex determines that your continued participation in the program is causing, or has the potential to cause, harm to Goallex or any of its Users, Goallex may terminate your participation in the Contributor Program and remove your Stock Content from the Service. This may include, but is not limited to, if you are found to:
(a) violate this agreement;
(b) excessively submit Stock Content that does not meet the Guidelines or Goallex determines to be fraudulent or unauthorised, including:
duplication of the same content;
copyright infringement;
trademark infringement;
misappropriation of likeness/identity;
false credentials/expertise claims;
misleading or deceptive testimonials;
“miracle cure” or unsubstantiated health claims;
harmful/dangerous advice;
AI-generated content misrepresentation;
affiliate marketing or sponsored content undisclosed;
use of stolen or hacked data/research;
content generated by bots/automated accounts;
repurposed or generic content without value-add;
content with exaggerated or sensationalist claims;
content promoting unethical practices,
or any similar.
(c) download Stock Content you have contributed to Goallex (or solicit any third party to do so);
(d) engage in conduct that harms Goallex’s reputation or brings the Creators programme into disrepute;
(e) harass Goallex staff or any other Contributor or user.

6. Assignment

Goallex may assign its rights and obligations under this Agreement to a related body corporate. You may not assign your rights and obligations under this Agreement without Goallex’s prior written approval.
